Oplinger — Severance Agreement | Base salary: $1,100,000 (annual rate for 2024).; Severance Multiples: Upon termination by the Company without 'Cause' or by the executive for 'Good Reason,' provides for a cash payment equal to 2.0x annual base salary and 2.0x target annual bonus.; Change-in-Control (CIC): Double-trigger protection providing 2.0x base salary and 2.0x target bonus upon qualifying termination within a defined period following a change in control.; Other Cash Payments: A lump sum payment of $50,000 in lieu of health and welfare benefits, perquisites, and outplacement services.; Bonus: Entitled to a pro-rata annual bonus for the year of termination based on actual Company performance.; Equity Vesting: In the event of an involuntary termination, provides for pro-rata vesting of time-based and performance-based equity awards (performance awards based on actual results); in a double-trigger CIC, time-based awards vest in full and performance awards vest based on target or actual performance depending on the timing of the CIC.; Non-compete/Non-solicit: Subject to a 24-month non-competition and non-solicitation period following termination of employment.
