CEO total compensation includes: base salary, annual bonus, stock awards, option awards, non-equity incentive compensation, changes in pension value, and other compensation (perks, benefits, etc.). This is the 'Total' column from the SEC's Summary Compensation Table (SCT) in proxy filings. It represents the full economic value of the CEO's pay package for that fiscal year.
The CEO-to-worker pay ratio compares the CEO's total compensation to the median employee's total compensation. For example, a ratio of 200:1 means the CEO earns 200 times what the median employee earns. This ratio is required by the SEC for public companies and is disclosed in annual proxy filings (DEF 14A).
