Retention Agreement | Retention as CEO: Mr. Grech will continue to serve as CEO until May 15, 2028 (Transition Date).; Compensation as CEO: Until the Transition Date, Mr. Grech will receive his annual base salary, short-term cash incentives (subject to performance goals), and employee benefits.; Long-Term Incentive Awards: Eligible to receive LTI awards in January 2026, January 2027, and January 2028.; Equity Vesting: Vesting for the 2026, 2027, and 2028 LTI awards will continue until the end of the Consulting Period (May 15, 2030), conditioned on providing advisory services. This includes full vesting of 2026 and 2027 time-based and performance-based LTI awards, and partial vesting of 2028 time-based and performance-based LTI awards, all subject to performance goals.; Consulting Period: Following the Transition Date (May 15, 2028), Mr. Grech will serve in an advisory capacity until May 15, 2030.; Consulting Fee: During the Consulting Period, Mr. Grech will receive a consulting fee of $1,500,000 per year for providing customary consulting services to ensure a smooth leadership transition.

Offer Letter | Appointment to the Board of Directors, effective immediately, with term expiring at the Company’s 2026 Annual Meeting of Stockholders.; Will serve as a member of the Board’s Audit Committee and Nominating and Corporate Governance Committee.; Participation in the Company’s non-employee director compensation program.; Received a prorated grant of Deferred Stock Units (DSUs) on November 19, 2025.; The number of DSUs was determined by dividing either $62,500 or $66,250 (depending on allocation election) by the closing price per share for the Company’s common stock on November 19, 2025, rounded down to the nearest whole DSU.; DSUs generally vest monthly over a six-month period beginning on December 9, 2025.; Underlying shares generally are not distributed until the earlier of (1) three years after the grant date and (2) the director’s separation from service, subject to any deferral election.; Company will enter into its standard director indemnification agreement.
