Reshma Kewalramani — Employment Agreement | Base Salary: $1,000,000 annually.; Annual Bonus: Target of 150% of base salary, with actual payout based on achievement of performance goals established by the MDCC.; Long-Term Incentive Awards: Eligible to receive grants of equity awards (e.g., stock options, RSUs, PSUs) at the discretion of the Board of Directors, typically awarded annually.; Severance: In case of termination without cause or resignation for good reason (as defined in the agreement), receives severance pay equal to two times (2x) her annual base salary plus two times (2x) her target annual bonus.
